Technical Nurse Consulting

This professional service agreement sets forth a general agreement of conditions and terms of technical consulting services between R & G Medical Consultants, Inc. (R & G) and the client. This agreement does not constitute a contract, but represents R & G's policies in providing technical consulting services.

The following are the technical consulting services that are to be provided: Review of medical records and documents, preparation of the computerized technical program, setting up and removing R & G technical equipment, presenting the computerized technical program, and responsibility to have backup technical equipment and supplies on hand. The client must be aware and acknowledge that these technical consulting services are very labor intensive and require hours of detailed work involvement.

R & G's technical equipment and supplies may be handled and used by an authorized R & G operator only. The client shall pay R & G in full for any damage caused to R & G technical equipment and supplies caused by client's unauthorized use of R & G equipment and supplies. In the event of any equipment failure, R & G is not responsible for any client loss whatsoever, such as power, operation, transportation and/or etc., other than to make good on time lost. R & G will, however, strive to properly maintain all equipment, and check all equipment prior to its use to make sure it is in good working order. Any claim for reimbursement or refund must be presented to R & G in writing within ten (10) days after the date of invoice and must include the specific reason or problem for the reimbursement.

The client shall pay the fees provided in R & G's current technical consulting fee schedule. The client shall pay 50% of the estimated fee for the total cost to start the work prior to beginning any technical consulting services. The balance of the remaining fee is due within one week of the end of settlement and/or trial proceedings. All accounts receivable are through R & G Medical Consulting, Inc. and are subject to terms and conditions on the invoice upon receipt by the client. Any changes, additions, or revisions are not considered part of a contract, quote, or estimate, and will be charged as additional work at standard service fees.

R & G at its discretion shall determine whether any fee alterations are warranted, and if so, whether to provide an equal amount of time, technical consulting or services or provide a credit or refund all or part of the fee paid by the client. In the event any legal actions are required to collect any amounts due to R & G, the client shall pay all costs and expenses, including usual and customary attorney's fees, incurred by R & G with regards to protection of R & G's rights.

R & G is not responsible for the final review of exhibits as they pertain to the legal evidence that would result in a mistrial or sanctions by the court. The attorney client is responsible for the final viewing and presentation content of the technical program. R & G shall have no other liability in any such event, including any direct or indirect damages or losses.

Storage of any property of client by R & G is provided solely as a convenience to the client, and R & G shall not be held liable for any loss, destruction or damage thereto, resulting from any cause whatsoever. R & G shall have a hold on all property of the client in R & G's possession, as well as all tapes, discs, and other materials made by R & G, to obtain the balance of any fees owed to R & G by the client.

The client supports and assures that the work to be performed by R & G is not in any way defamatory, nor violates any copyright, trademark or patent, or any civil right of privacy of any other person or entity. The client shall fully provide security to R & G, its officers, employees and agents, jointly and severally, and hold them harmless from and against any and all claims, damages, suits, demands, and liabilities and expenses of any nature, including reasonable attorney's fees and court costs, arising out of the creation and presentation of any technical consulting services produced for the client by R & G.
